Writing a Set of Rules or Memorandum & Articles
A Memorandum & Articles of Association is very similar in some ways to a constitution and will contain much of the information mentioned in writing a constitution, but is more legally binding in regards to the duties of officers & directors & is subject to Companies Law.
It comes in two parts the first part, (Memorandum), contains the name, aims or objectives, members liability & dissolution clause.
The second part (Articles) contains information around membership notice of meetings, votes of members &powers of director ect.
The charity commission has a draft model that can be easily adapted for the needs of different organisations. This will be less time consuming & could save you money in the long run.
